Terms and conditions

1. Who you are contracting with

ProofLocal is operated by Blend Gacaferi ("ProofLocal", "we", "us"). By creating an account or using the service you enter into an agreement with us on these terms. You can reach us at prooflocal.support@gmail.com.

2. Acceptance

By signing up for, accessing or continuing to use ProofLocal you agree to these terms. If you are using ProofLocal on behalf of a business, you confirm you have authority to bind that business. If you are using it as an individual, you confirm you are of legal age.

3. What ProofLocal does

ProofLocal lets a local service business ask its customers how a job went, direct satisfied customers to its public review profile, keep critical feedback private, and publish selected testimonials on a review page. Features available to you depend on the plan you choose.

4. Your account

You must give accurate account information and keep it up to date. You are responsible for keeping your login details confidential and for everything done under your account.

5. Acceptable use

You must not:

• use ProofLocal for anything unlawful, fraudulent or deceptive;
• send unsolicited bulk messages or use the service for spam;
• fabricate, incentivise dishonestly, or otherwise manipulate reviews, or contact people who have not done business with you;
• infringe anyone's intellectual property or privacy rights;
• interfere with the security or integrity of the service, including malware, probing, scraping or circumventing technical limits;
• reverse engineer, resell or redistribute the service.

You are responsible for complying with the review policies of any third-party platform you direct customers to, including Google's prohibited and restricted content policies.

6. Your content

You keep ownership of the customer details, feedback and testimonials in your account. You grant us a limited licence to host and process that content solely to provide the service to you.

7. Our intellectual property

We retain all rights in ProofLocal, including its software, design, documentation and branding. You get a limited, non-exclusive, non-transferable right to use the service in line with your plan.

8. Plans, payment and cancellation

New accounts start with a 14-day free trial that does not require a card. After the trial you must be on a paid plan to keep adding customers and sending review requests; otherwise your account becomes read-only and your existing data stays visible. Subscriptions renew monthly until cancelled. You can cancel at any time from your billing page and keep access until the end of the period you have paid for.

9. Reseller

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Service level

We work to keep ProofLocal available and reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may close your account at any time. On termination you may request an export of your data within 30 days, after which it may be deleted.

12. Liability

Our aggregate liability arising out of or relating to the service is capped at the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential loss, including lost profits, lost data or loss of goodwill. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

13. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.

14. Changes

We may update these terms. Material changes will be notified by email or in the app before they take effect.

15. Governing law

These terms are governed by the laws of the seller's place of establishment, and the courts there have exclusive jurisdiction, unless mandatory local law gives you the right to bring a claim elsewhere.
